Fermi America announces CFO resignation and board changes


More leadership changes are underway at Fermi America following a series of board and executive shifts disclosed in an SEC filing submitted Monday. The filing confirmed that Chief Financial Officer Miles Everson resigned from his role effective April 19. While stepping down as CFO, Everson has been elected to Fermi America’s board of directors, signaling a transition rather than a full departure from the company’s governance structure. The company also said it is actively evaluating candidates for an interim CFO and expects to announce an appointment within the coming week as it works to stabilize its executive leadership.

The filing outlined several additional governance changes that took effect April 19. The board appointed Jeffrey Stein, co-founder and managing partner of Breakpoint Advisory Partners LLC, as a new board member. At the same time, Marius Haas assumed the role of chairman of the board, marking a significant reshuffling of leadership responsibilities at the top of the organization. These updates follow the previously reported departure of Toby Neugebauer from his role as chief executive officer. Neugebauer has left the CEO position but continues to serve on the company’s board, maintaining a role in oversight during the transition period.

In a press release included with the filing, the company framed the leadership changes as part of a broader initiative referred to as Fermi 2.0. The initiative represents a strategic reset aimed at reshaping the company’s direction, governance model, and operational framework as it advances its long-term development plans. As part of this restructuring effort, Fermi America has engaged executive search firm Heidrick & Struggles to lead the recruitment process for its next chief executive officer.

Alongside leadership changes, the company also outlined expansion plans tied to its physical and operational footprint. Fermi America announced plans to establish offices in Dallas as well as at the Project Matador site, a major development area central to its long-term strategy. The company continues to position Project Matador as a cornerstone of its investment in infrastructure, research capacity, and large-scale development initiatives.

Support for the project remains strong from regional education leadership. Brandon Creighton, Chancellor of the Texas Tech University System, described Project Matador as a transformative initiative with broad implications for national security, energy independence, and advanced research. He emphasized ongoing institutional commitment to the partnership with Fermi America and noted that discussions are actively underway to adjust certain lease milestones as the project moves into its next phase of development.

Taken together, the changes reflect a period of significant transition for Fermi America as it repositions its leadership team, advances a structured executive search, and continues to expand its physical presence. The combination of board restructuring, executive turnover, and long-term strategic planning suggests the company is entering a new phase of governance and operational execution while maintaining momentum on its flagship development projects.
